POWER GALS MEMBERSHIP AGREEMENT

Welcome and thank you for joining Power Gals. Power Gals is owned and operated by Power Gals, LLC ("Power Gals," "our" or "we") who provides a platform for local women to promote their businesses through professional networking groups and operates powergalsnetworking.com ("Site") and related social media sites. Upon becoming a paid member of Power Gals, we are granting you access to Power Gals, the professional networking group and making the Site available to you subject to your agreement without modification to this Membership Agreement which includes the Site's Terms of Service (the Membership Agreement and the Terms are collectively referred to as the "Terms"). The following Terms spell out what you can expect from the Power Gals and what we expect from you. Please read them carefully and keep a copy of them for your reference. By becoming a Power Gals member and using the Site, you agree to be bound by these Terms. These Terms are evolving and may be changed at any time by Power Gals. Note that with any changes to these Terms, your use, rights and privacy expectations may also change. If you agree to what you read below, you should click “I Agree” at the end of these Terms to acknowledge that you have agreed to these terms. We intend this to be the legal equivalent of your signature on a written contract, and equally binding. Only by clicking "Yes" will you receive access to and invitations to member only content and events.

1. Who Can Become a Member of Power Gals? Membership in Power Gals is open to women only. That means only women are able to register as a paid member. However, we do allow both men and women to advertise with Power Gals or sponsor our events.
2. Membership. To become a Power Gals Member, you must complete an application to join a specific Power Gals chapter, pay the Membership Fee, agree to abide by all rules and guidelines set forth by Power Gals and agree to all of the expectations and conditions detailed in these Terms. Membership in Power Gals is open to women at least 18 years old however, if you are under the age of 18, you must have the written consent of your parent or guardian. Power Gals is not seat specific so you agree and understand there may be another member in your Power Gals chapter or in another Power Gals chapter who is in the same industry as you. Only Power Gal members may attend Power Gal chapter meetings, however we allow and encourage our members to bring guests. At the heart of our mission is the creation of a female driven networking community, but if you violate our rules, guidelines or policies, we may terminate your membership. Don't do anything illegal, abusive toward others or in a way that abuses our Site, the Power Gals members, or any affiliated programs or services. If you do, we are allowed to modify, suspend or terminate your membership in Power Gals at any time and for any reason. While the purpose of membership in Power Gals is to promote professional networking amongst women and seek referral opportunities and/or to promote the businesses of other members, Power Gals does not guarantee new business generation for our members. The success of a member's networking efforts and business generation is dependent on the individual member.
3. Membership Directory. The Power Gals Member Directory is a directory of all of the Power Gals members with their contact information organized by product and/or service categories. Once membership has been confirmed and the Membership Fee paid, the member will appear in the Power Gals Member Directory and the member consents to her contact information being published and shared in the Power Gals Member Directory. Power Gals does not verify any information supplied by the members, it does not investigate the licensure of members, if applicable, and inclusion in the Power Gals Member Directory is not an endorsement by Power Gals of the goods and/or services provided by the members. Information that appears in the Power Gals Member Directory is supplied by the members themselves and the member is solely responsible for the accuracy of the information provided to Power Gals.
4. Membership Fees. The Membership Fee of $250 is paid annually and renewable every year on the date of your initial membership registration. Membership fees are never prorated since Power Gals members can register at any time. All Membership Fees are non-refundable, but we may decide to issue a refund or credit if we choose to do so. If we do issue a refund or credit, that doesn't mean we will always issue the same refund or credit in the future. Power Gals reserves the right to increase the amount of the Membership Fee at its own discretion.
5. Term and Cancellation. The term of membership in Power Gals is for one year and you will be required to renew your membership annually. You can choose to cancel your membership at any time however Power Gals will not refund your Membership Fee, in whole or in part. While you are a member of Power Gals, you agree to adhere to all of Power Gals' rules, guidelines and/or policies. If you refuse to follow, or consistently violate, any of our rules, guidelines and/or policies, we may terminate your membership and we reserve the right to terminate your membership at any time upon notice to you at the email address provided for your membership. Regardless of the reason for termination, we will not refund your Membership Fee.
6. Intellectual Property. All content on Power Gals' Site is the property of Power Gals and is protected by copyright, trademark and trade secret laws. Some examples of the content created by Power Gals may include the text on the site, graphics, images, video, artwork, audio files, video files, design, organization, compilation, and the overall look and feel of the Site. Unless you have our written permission, you may not use, reproduce, distribute, retransmit, prepare derivative works, perform or otherwise publicly display our content. Power Gals® is a federally registered trademark and no one, including Power Gals members, are allowed to sell or offer for sale or donate anything with Power Gals, the Power Gals® logo, Power Gals Networking, or anything bearing the hashtags #PowerGals, #PowerGalsNetworking, or #FunWorking without the written consent from Power Gals.    All of the trademarks, service marks, logos, brands and trade names of Power Gals members and advertisers that appear on the Site are the proprietary intellectual property of the owners of such marks, logos or names, and you may not use, modify, remove, or otherwise infringe any such intellectual property. Power Gals retains full ownership rights with respect to the Site including but not limited to the design, functionality and documentation. You may not copy, edit or reproduce any part of the Site.
7. Third Party Links or Websites. The Site may redirect or link to other websites or may otherwise include references to information, products or services made available by third parties unaffiliated with Power Gals. While we make every effort to work with trusted, reputable providers, it is possible such third party websites may contain information, material or policies that some may find inappropriate or personally objectionable. Power Gals is not responsible for the contents of any third party website. Power Gals provides these links or references to you only as a convenience and the inclusion of a link or reference on the Site does not imply Power Gals' endorsement of or association with the operators of the links and/or reference.
8. Member Content; Grant of Rights and Representations by You. On social media, including but not limited to, Power Gals private Facebook group, LinkedIn, Instagram, Twitter, YouTube and Nextdoor ("Power Gals' Social Media Sites"), we want you to comment on and engage in discussions with other Power Gals members. Any content, information, graphics, audio, images, and links you submit to Power Gals' Social Media Sites are what we refer to as "Member Content." You understand that Member Content may include information, views, opinions, and recommendations of many individuals. We do not endorse any recommendation or opinion made by any member. We do not routinely screen, edit, or review Member Content but if we feel someone is abusing our policies, we may choose to remove any Member Content from Power Gals' Social Media Sites at any time.
   You keep full ownership of all Member Content that you offer on Power Gals' Social Media Sites. By posting Member Content on Power Gals' Social Media Sites, you grant us a royalty- free, perpetual, irrevocable, non-exclusive, sublicensable, worldwide license to use, reproduce, distribute, perform, publicly display or prepare derivative works of your content. We will never try to steal your Member Content. You may not post any Member Content on Power Gals' Social Media Sites that infringes someone else's intellectual property or proprietary rights.
9. Network Marketing; Multi-Level Marketing. Power Gals welcomes those members who may have a network marketing and/or multi-level marketing business or be part of such a business. If a member works in a network marketing and/or a multi-level marketing business, that member agrees she will not actively recruit other Power Gals members into that network marketing and/or multi-level marketing business during any Power Gals chapter meetings, events, through the Site or any of the Power Gals' Social Media Sites or utilize the Power Gals Member Directory for recruitment purposes in any fashion. Violation of this provision is grounds for immediate termination of membership in Power Gals.
10. Member Media Release and Consent. Power Gals' ability to portray its networking events and programs accurately and vibrantly depends on Power Gals' use of images of members and the members' businesses. You authorize without limitation Power Gals, its successors and assigns, and those acting with Power Gals' permission and authority, to use the your name, photographic image (including portrait, picture, video or other reproductions), audio recordings of your voice, video recordings of you and your likeness, written or in electronic format, and/or reproductions of your business information, logos, graphics (collectively referred to as "Member's Media Information") in Power Gals' publications, marketing and promotional materials, the Site, press releases, advertising, and/or social media accounts. You waive the right to inspect or approve the finished product, including written or electronic copy wherein the Member's Media Information appears. You also acknowledge Power Gals' right to crop or alter any photographic image of you at its discretion. You authorize Power Gals to use, reproduce, or cause to be reproduced and used the Member's Media Information on more than one occasion, without limitation to the number of times it is used, in perpetuity. You are not entitled to receive any compensation for such use and release Power Gals, its affiliates, successors and assigns and those acting with its permission and authority, from any liability, responsibility, or claim that may arise by reason of any exercise of the authority granted above. If you do not consent to such use, you must notify Power Gals in writing prior to attending any Power Gals' networking meetings, events and programs via email PowerGalsNetworking@gmail.com While Power Gals strives to abide by your wishes, it does not guarantee incidental uses of your name, image or likeness will never occur. to
11. Non-Competition; Non-Solicitation. Power Gals has a legitimate business interest in the creation and cultivation of a networking group for women. You agree that for a period of three (3) years from the date of your last attendance at any Power Gal chapter meeting, you will not, directly or indirectly, create your own networking group, whether it includes in-person meetings, virtual meetings or on social media, within a 1,000-mile radius of any Power Gals chapter. You further understand and agree that Power Gals has expended and continues to expend significant time and resources in the creation and cultivation of Power Gals, its chapters, networking events, whether in-person or virtual, and this Site and the loss of members would cause significant and irreparable harm to Power Gals. You agree you will not directly or indirectly solicit or attempt to solicit Power Gals members to leave Power Gals to join a competing networking group. If you breach or threaten to breach this provision, you agree that money damages would not afford an adequate remedy to Power Gals and Power Gals shall be entitled to see a temporary or permanent injunction or other equitable relief against your breach or threatened breach from any court of competent jurisdiction, without having to show any actual damages. Any equitable relief shall be in addition to, and not in lieu of legal remedies, monetary damages, or other available relief.
12. Non-Disparagement. You agree that you will not at any time make, publish, or communicate to any person or entity or in any public forum any defamatory or disparaging remarks, comments, or statements concerning Power Gals, or any of its employees, officers, or directors now or in the future.
13. Indemnity. You agree to indemnify, defend and hold Power Gals, its officer, directors, employees, agents and representatives harmless from and against any all claims, costs, losses, damages, judgments, penalties, interest and expenses, including reasonable attorneys' fees, that arise out of or relate to your use of Power Gals networking events or services, the Site, any postings by you on any of Power Gals Social Media Sites, your violation of these Terms, your violation of any rights of any third party, or violation of any applicable law, rule or regulation. We reserve the right to exclusive control over the defense of a claim covered by this clause. If we use this right, then you agree to cooperate and help us in our defense.
14. Limitation of Liability. IN NO EVENT SHALL POWER GALS OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND/OR REPRESENTATIVES BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, OR LOST PROFITS OR REVENUES, ARISING OUT OF, RELATING TO, OR IN CONNECTION WITH ANY BREACH OF THESE TERMS, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORSEEABLE, (B) WHETHER OR NOT POWER GALS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (C) THE LEGAL OR EQUITABLE (CONTRACT, TORT, OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.
    IN NO EVENT SHALL POWER GALS' AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETEHR ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED THE TOTAL AMOUNTS PAID BY TO POWER GALS PURSUANT TO THIS AGREEMENT.
15. Warranty Disclaimer. We do our best to make sure Power Gals, any Power Gals events, the Site, or any Power Gals Social Media Sites work as expected. All services and the Site provided by Power Gals are provided "as is" and "as available" without warranty or representation of any kind. To the fullest extent permissible under applicable law, Power Gals disclaims any and all warranties including without limitation: Any warranty of merchantability, fitness for a particular purpose, non-infringement, course of dealing or usage of trade, and any other warranty is excluded to the greatest extent permitted by law;
16. Relationship Between Us. You agree that your membership in Power Gals does not create a joint venture, partnership, employment or agency relationship with Power Gals. You have no authority to enter into contracts or agreements on behalf of Power Gals. Nothing expressed in these Terms is intended to or shall be construed to give any person other than Power Gals and you, the member, any legal or equitable right, remedy, or claim under these Terms.
17. Dispute Resolution; Class Action Waiver. We encourage you to contact us if you have an issue. In the event of any dispute between the parties regarding the interpretation, application, or performance of these Terms, your membership in Power Gals in general or your use of Power Gals networking services, and if the dispute cannot be settled through direct discussions and/or negotiation, you and Power Gals agree to endeavor first to settle the dispute by mediation by a mediator jointly chosen by the parties. You and Power Gals further agree that any unresolved controversy or claim arising out of or relating to these Terms, or breach thereof, your membership in Power Gals in general or your use of Power Gals networking services shall be submitted to arbitration before a single arbitrator administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
    Any arbitration under these Terms will take place on an individual basis. YOU AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY
    PUTATIVE CLASS, COLLECTIVE AND/OR REPRESENTATIVE PROCEEDING. Unless you and Power Gals agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. Mediation and arbitration and shall take place in Tampa, Florida. The arbitration shall be governed by the laws of the State of Florida. Each party shall bear its own costs and expenses and an equal share of the mediator's and the arbitrator's and administrative fees of arbitration. Except as may be required by law, neither a party nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of both parties.
18. Choice of Law. These Terms and all matters arising out of or relating to these Terms, including but not limited to your membership in Power Gals and/or your use of Power Gals networking services, whether sounding in contract, tort, or statute, are governed by, and construed in accordance with, the laws of the State of Florida, without giving effect to the conflict of laws provisions thereof to the extent such principles or rules would require or permit the application of the laws of any jurisdiction other than those of the State of Florida.
19. General. These Terms are the entire agreement between you and us, and supersede all prior agreements. If any provision of these Terms is held to be unenforceable, then that provision is modified to the extent necessary to enforce it. If a provision cannot be modified, it shall be severed from these Terms, and all other provisions remain in force. If either party fails to enforce a right provided by these Terms, it does not waive the ability to enforce any rights in the future. Power Gals may sometimes make changes to these Terms and policies that apply to Power Gals. If we make material changes that adversely affect your rights, then we will let you know before the changes come into effect. Continuing to use Power Gals and/or the Site after a change means you accept the new terms or policies. We may discontinue or change Power Gals and/or the Site, or its availability to you, at any time. These Terms are personal to you, which means that you may not assign your rights or obligations under these Terms to anyone. No third party is a beneficiary of these Terms.
20. Acknowledgment. IF YOU AGREE TO BE BOUND BY THE TERMS OF THIS MEMBERSHIP AGREEMENT, please click the "Yes" button below. If you do not agree to the terms of the Membership Agreement, please click the "No" button to and discontinue your use of the Site and Power Gals.
